Meridian Addendum

This Meridian Addendum (the “Addendum”) governs the provision and uses of the Meridian event, website, services, applications, and content, including any pre-event websites, registration, services, applications, and content (altogether, the “Meridian Services”). This Addendum supplements the Stellar Development Foundation (“SDF”, “we”, “our”) Terms of Service (under which the Meridian Services falls under the category of “Services” as defined therein), Privacy Policy, and any other agreements entered into concerning or related to the provision and use of the Meridian Services. In the event that a term in this Addendum conflicts with a term in any other agreement, the terms of this Addendum shall prevail over all agreements except for the Meridian Speaker Media Release agreement, if applicable. 

SDF, in conjunction with its partners, contributors, and contractors, design and provide the Meridian Services to educate businesses and individuals about financial technology, financial inclusion, current events, payments technology, blockchain, cryptocurrency, and the Stellar network and to offer a forum for participants to connect and network with relevant and like-minded individuals. 

Users of the Meridian Services (herein, “Participant(s)”, “you”, “your”) are expected to conduct themselves in a professional and reasonable manner that is consistent with the educational and networking purposes of the Meridian Services. In order to facilitate a friendly, educational environment, you may not (and may not encourage others to) directly or indirectly:

• Share or engage in any communication or activity that:
  - Contains unsolicited, unauthorized advertisements or promotions for services and products;
  - Would be considered harmful, obscene, indecent, or otherwise inappropriate in a business context;
  - Is fraudulent, deceitful, manipulative, libelous, or unlawful;
  - Is discriminatory, defamatory, harassing, threatening, or abusive;
  - Encourages, supports, or facilitates support of money laundering, human trafficking, terorrism, terrorist organizations, or any other illegal activity;

• Gather, collect, or harvest user or participant information without their prior, validly obtained consent;
• Misrepresent your identity or affiliation with any entity or organization, or impersonate any other person or organization;
• Violate or infringe any intellectual property or proprietary rights of others, including copyrights. This includes, for example, recording, editing, and/or distributing sessions without the prior consent of the speakers and participants; 
• Violate the privacy of others; or
• Engage in any activity that is harmful or disruptive to the Meridian Services.

Please note that SDF has the right to restrict or terminate your access to the Meridian Services at any time for any reason, with or without cause or notice.

Unless expressly stated otherwise, SDF intends to, but is not obligated to, record, edit, and distribute all talks and panels related to the Meridian Services. By participating in the Meridian Services, you acknowledge and agree that we may capture, use, edit, and distribute any video, picture, text, audio/speech, and/or other media recordings of you involving your participation in Meridian, including your participation in Q&A sessions, chat forums, promotional events, and live polling relating to Meridian. For example, you may be recorded if you provide a comment in a discussion forum or a question during a recorded talk, and we may later publicly post or distribute a video of the question or comment on our website. 

By participating in the Meridian Services, you hereby irrevocably grant to SDF and SDF’s assigns, licensees, and successors, a right to record, edit, publish, reproduce, distribute, and otherwise use (herein, “Use” or “Usage”) your Appearance in all forms and media, including composite or modified representations, for educational, informational, and marketing purposes throughout the world and in perpetuity. 

To the extent that any pre-existing, or independently created, materials or information are provided to SDF by you, or on your behalf, such material will be deemed included in the definition of “Appearances” and you grant to SDF the same Usage rights as set out herein, warrant that use by SDF will not infringe any intellectual property or other rights of any third party, and indemnify SDF against any breach of that warranty.

You waive the right to inspect or approve versions of your Appearance made or modified for Usage, and unconditionally release SDF and SDF’s assigns, licensees, and successors from any claims that may arise in connection with the Usage of your Appearance in accordance herewith, including any claims of defamation, invasion of privacy, or infringement of moral rights, rights of publicity, or copyright. You acknowledge that you shall have no claim for compensation arising in connection with any Usage of your Appearance. SDF is permitted, though not obligated, to include your name as a credit in connection with the Usage of your Appearance.

If you would like to participate in the Meridian Services and do not want to be recorded, please do not participate in question and answer sessions, discussion forum, chat function, or any other sessions involving audience participation and notify us at [email protected] by September 10, 2022. 

Please note that networking sessions and one-on-one conversations will not be recorded.

By participating in this event and the Meridian Services, you acknowledge that:

• SDF does not endorse, does not control, and is not responsible for the statements and views of any speaker or participant that is not a full-time employee of SDF; 
• SDF does not endorse the products and services of any third party organizations that participate in or speak/present at the Meridian Services. Please conduct due diligence and interact with these organizations at your sole discretion; 
• Any Stellar or SDF promotional materials, including but not limited to “swag bags” or appreciation packages, may only be made available and delivered to those persons who attend the Meridian Services and are subject to availability. Registering for, but failing to attend, the Meridian Services does not entitle a person to any such promotional materials; 
• No information or communication in the Meridian Services is, or should be construed, as investment advice;
• SDF does not guarantee continuous, uninterrupted, or reliable access to the Meridian Services and is not responsible for any failures or delays related to the Meridian Services;
• SDF makes no representations, warranties, or guarantees about the accuracy, reliability, suitability, or completeness of any information provided during the Meridian Services. SDF shall not be liable for any damages caused based on reliance of such information.
• Your registration and entry badge entitle you to admittance to the event any and all other costs associated with your attendance (including, without limitation, travel and accommodation expenses) shall be borne solely by you, and SDF shall have no liability for such costs.
• You acknowledge and agree that SDF, in its sole discretion, reserves the right to change any and all aspects of the Meridian Services, including but not limited to, the  name, themes, content, program, speakers, performers, hosts, moderators, venue, and time.
• You are attending the event at your own risk and SDF cannot and does not guarantee that the event participants or others in attendance will not become infected with COVID-19, and SDF will not be liable or responsible if you or any others in attendance become infected with COVID-19 as a result of attending the event.

SDF uses various third party services to offer the Meridian Services including but not limited to Cvent for event registration and Braindate for networking and those services are offered independently subject to their respective terms of use and privacy policies.

SDF’s collection, usage, and retention of your data will be governed by the SDF Privacy Policy. In addition to the uses outlined in the SDF Privacy Policy, SDF may use a Meridian registrant’s information to send emails, newsletters, notices, updates, alerts, administrative messages, and general marketing and promotional materials relating to the Meridian Services.  

Third party platforms used for communications or networking related to the Meridian Services  may also include, or provide access to, features and forums where you can post public comments and communicate with other users. Neither SDF nor such third party platforms  are responsible for the other users’ use of available information, so you should carefully consider whether and what to post or how you identify yourself.
